Welcome to User Intuition! These Terms and Conditions ("Terms") govern your access to and use of the User Intuition website, platform, and services (collectively, the "Services"). Please read these Terms carefully before using our Services. By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility and Account Creation

You must be at least 18 years old to use the Services. By creating an account, you represent that you are at least 18 and that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

2. Use of Services

Subject to your compliance with these Terms, User Intuition grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for their intended purposes. You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer or sell any content, software, products or services obtained from the Services without our prior written consent.

You agree to use the Services in compliance with all applicable laws and regulations. You may not use the Services to:

• Use the Services for any fraudulent or illegal purpose
• Attempt to gain unauthorized access to the Services or its related systems
• Interfere with the functionality or security features of the Services
• Upload or transmit any content that is defamatory, obscene, threatening, abusive, or hateful
• Upload or transmit any content that infringes any intellectual property or proprietary rights

3. Intellectual Property

The Services and their original content, features, and functionality are owned by User Intuition and are protected by United States and international intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our express written consent.

4. Participant Responses

The Services may allow you to upload, submit, store, or transmit content—including text, images, audio, and video ("Participant Responses"). You retain all ownership and intellectual property rights in your Participant Responses.

By making your Participant Responses available through the Services, you grant User Intuition a limited, non-exclusive, worldwide, royalty-free license to use, store, reproduce, and distribute your Participant Responses solely for: (a) Operating and improving the Services; (b) Providing feedback insights to the authorized customers commissioning the relevant feedback session; (c) Processing data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement; (d) Complying with legal obligations.

This license is strictly limited to Service-related purposes. We will not sell your Participant Responses or use it for unrelated marketing without your explicit consent. You are responsible for ensuring you have all necessary rights to grant this license. If you delete your Participant Responses, we will cease using it for ongoing services, though we may retain copies for legal compliance. Upon termination or at Customer's written request, User Intuition will delete or return Customer's data within thirty (30) days, except where retention is required by law. Deletion requests: privacy@userintuition.ai.

5. Data Processing

To the extent that Customer provides Personal Data to User Intuition in connection with the Services, the parties agree that Customer is the Data Controller and User Intuition is the Data Processor. The processing of Personal Data is governed by User Intuition's Data Processing Agreement (DPA), available upon request at privacy@userintuition.ai and incorporated by reference. In the event of a conflict between these Terms and the DPA with respect to data protection matters, the DPA shall prevail.

6. Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by User Intuition. We have no control over the content, privacy policies, or practices of any third-party sites. A current list of sub-processors is maintained at userintuition.ai/sub-processors.

7. Termination

We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. All provisions which by their nature should survive termination shall survive.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

9. Limitation of Liability

To the fullest extent allowed by law, in no event shall User Intuition be liable to you or any third party for any lost profits, lost data, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these Terms or your use of the Services.

10. Indemnification

You agree to defend, indemnify and hold harmless User Intuition from and against any claims, liabilities, damages, losses, costs, or fees arising out of or relating to your violation of these Terms or your use of the Services.

11. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Austin, Texas.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice on our website or by other means. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
